1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the Site and any services provided by KGLC Trading (“we”, “our”, “us”). By using the Site or placing an order, you agree to these Terms.

2. Use of the Site

• You agree to use the Site for lawful purposes only, and not to use it in violation of any applicable export-control, import or customs regulation.

• You must be at least 18 years old (or the legal age in your jurisdiction) and able to form binding contracts.

• You agree not to misuse or interfere with the Site or its servers (including reverse-engineering, scraping, hacking, viruses, etc.).

3. Quotations, Orders & Payments

• All quotations provided by us are valid for the period specified on the quotation. We may withdraw or revise a quotation at any time before written acceptance.

• Orders are subject to acceptance by us. A contract forms only when we issue our confirmation of order.

• Payment terms will be set out in the quotation or invoice (e.g., advance payment, letter of credit, documentary against payment). You agree to pay in full as per agreement.

• Title and risk in the goods may pass as specified in the agreement (for example upon loading, shipment, delivery or as per Incoterms). Payment obligations remain even if goods are delayed or damaged.

4. Pricing & Taxes

• Prices are as quoted, exclude applicable export/import duties, taxes, fees and shipping unless specifically stated. You as buyer are responsible for customs clearance, duties and taxes in your jurisdiction unless otherwise agreed.

• If regulatory or market changes (such as currency fluctuations, duties, freight cost increases) arise after quotation, we may adjust the price before acceptance.

5. Delivery & Shipping

• Delivery terms will be defined in the agreement and may refer to standard international trade terms (e.g., Incoterms).

• We will endeavour to deliver goods by the estimated date but time is not of the essence unless explicitly stated. We are not liable for delays due to force-majeure, customs, carrier delays or other events outside our control.

• You must inspect goods on arrival and notify us in writing of any shortage, damage, or defects promptly (within  7 days).

6. Warranties & Limitations

• We warrant that at the time of delivery goods conform to the description and are free from material defects.

• Except as expressly provided, all warranties (including implied warranties of merchantability or fitness for purpose) are excluded to the fullest extent permitted by law.

• Our liability for any loss or damage shall be limited to the value of the goods or the portion of the shipment involved. We will not be liable for indirect, special or consequential losses.

7. Export-Control & Compliance

• You warrant that you will comply with all export/import laws, sanctions regimes and customs requirements applicable to the goods and transaction. You agree not to export, re-export or supply goods to prohibited countries or entities.

• We reserve the right to cancel or suspend any order if we reasonably believe that any applicable export or import law or sanction would be infringed.

8. Intellectual Property
All content on the Site (texts, graphics, logos, images) is our property or licensed to us, and you may not copy, reproduce, transmit or create derivative works without our prior written consent.

9. Termination
We may suspend or terminate your access to the Site or services at any time if you breach these Terms or if we reasonably believe your use is unlawful or detrimental to us.

10. Governing Law & Jurisdiction
These Terms and your use of the Site are governed by the laws of All India and you agree to submit to the exclusive jurisdiction of the courts of New Delhi, India.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain effective.

11. Changes to Terms
We may update these Terms at our sole discretion. We will publish changes on the Site and indicate the “Effective Date” at the top. Your continued use of the Site after changes constitutes acceptance of the revised Terms.
